Use of the Service by a User or potential client does not create and is not intended to create an attorney-client relationship between SIMONIS and any User. Any electronic or other communication with SIMONIS does not establish an attorney-client relationship, which is expressly denied.
SIMONIS Does Not Provide Legal Advice
SIMONIS is not a law firm and does not provide legal advice, legal representation, mediation, or legal counseling under any circumstances.
III. Confidentiality
SIMONIS makes reasonable efforts to maintain the confidentiality of information submitted by Users. However, SIMONIS cannot guarantee absolute confidentiality due to factors beyond its control, including system errors or unauthorized third-party actions.
Users are advised to exercise caution when submitting information. Do not provide unnecessary sensitive, confidential, or incriminating information. SIMONIS is not responsible for the improper use or disclosure of information resulting from system errors, third-party actions, or user conduct.
IV. Indemnification
The User agrees that SIMONIS is not responsible for any harm arising from use of the Service. The User agrees to indemnify, defend, and hold harmless SIMONIS, its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, losses, costs, or expenses, including reasonable attorney’s fees, arising out of or related to the User’s use of the Service, violation of this Agreement, or violation of any applicable law.
SIMONIS reserves the right, at its own expense, to assume exclusive control of any matter subject to indemnification, and the User agrees not to settle any such matter without prior written consent from SIMONIS.
V. Communications and Data
SIMONIS is not responsible for any loss of data caused by system failures, network interruptions, file corruption, unauthorized access, or other technical issues.
VI. Other Rights of SIMONIS
SIMONIS reserves the right to disclose user information in accordance with its Privacy Policy if required by law, subpoena, court order, or if SIMONIS believes such disclosure is necessary to protect its rights, users, or the public.
SIMONIS also reserves the right to deny, suspend, or terminate Services to any User for violation of this Agreement or for any reason, with or without notice.
VII. Modifications to the Agreement
SIMONIS may modify this Agreement at any time. Updated terms will be posted on the website. Continued use of the Service after changes are posted constitutes acceptance of the revised Agreement.
VIII. Proprietary Rights
SIMONIS owns all rights, title, and interest in the Service, including its content, design, layout, text, graphics, logos, and software. All materials are protected by applicable intellectual property laws.
Users may not copy, reproduce, distribute, transmit, or create derivative works from any content without prior written authorization from SIMONIS.
IX. Disclaimer of Warranties and Limitation of Liability

X. Arbitration
Any dispute or claim arising out of or relating to this Agreement or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall be conducted in Miami-Dade County, Florida, on an individual basis only. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Either party may seek temporary or preliminary relief from a court in Miami-Dade County, Florida, to protect its rights pending arbitration.
XI. General Provisions
This Agreement incorporates by reference the SIMONIS Privacy Policy and constitutes the entire agreement between the User and SIMONIS regarding use of the Service.
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles.
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Any claim arising from use of the Service or this Agreement must be filed within one year from the date the claim arose or be permanently barred.
